Terms for Clients
B1. Nature of Hadi Entertainment’s Services
- Hadi Entertainment operates as an artist booking and talent representation agency, facilitating introductions and engagements between Clients and independent Artists.
- Unless expressly agreed otherwise in a separate written agreement, Hadi Entertainment acts as an intermediary and does not employ the Artists or control their independent professional activities.
- Hadi Entertainment may assist with artist recommendations, availability checks, fee negotiations, booking coordination, and communication between Clients and Artists.
- Hadi Entertainment does not guarantee that a particular Artist will be available, accept a booking, or achieve a particular commercial or artistic outcome.
- Submitting a Booking Inquiry does not create a Confirmed Booking or an obligation on Hadi Entertainment or an Artist to proceed.
- Hadi Entertainment may also organize, promote, or participate in its own events. Tickets to such events are sold under Part E, and an event may also be subject to separate event-specific terms.
B2. Booking Inquiries and Confirmation
- Clients must provide accurate and complete information when submitting a Booking Inquiry, including the Event date, location, nature, expected audience, performance requirements, and budget.
- Hadi Entertainment may request additional information before providing a quotation or recommending an Artist.
- Artist availability, performance fees, and other commercial terms are subject to confirmation and may change until the booking is formally confirmed.
- A booking shall only become a Confirmed Booking once the applicable Booking Confirmation has been issued and accepted and any required initial payment has been received.
- Hadi Entertainment reserves the right to decline a Booking Inquiry where the requested engagement is unsuitable, unlawful, impractical, or inconsistent with its business policies.
- Clients must not represent that an Artist has been booked or endorsed by Hadi Entertainment unless the booking has been formally confirmed.
B3. Booking Fees and Payment
- The Booking Confirmation shall specify the Booking Fee, deposit, payment schedule, payment method, and any additional charges applicable to the Event.
- Unless otherwise stated, all fees shall be quoted in Kenyan Shillings (KES).
- A deposit may be required to secure an Artist’s availability. A booking shall not be considered secured until the required deposit has been received.
- Unless the Booking Confirmation provides otherwise, the outstanding balance must be paid in full before the Artist begins the performance or engagement.
- An Artist may decline to perform where the Client has failed to make a payment that is due under the Booking Confirmation, subject to applicable law and the agreed terms.
- Where Hadi Entertainment collects payment on behalf of an Artist, the payment arrangement and any applicable deductions shall be stated in the Booking Confirmation.
- Where the Client pays the Artist directly, the Client remains responsible for paying the agreed Booking Fee, and the Artist remains responsible for settling Hadi Entertainment’s Commission in accordance with Part C.
- Any overtime, additional performance time, equipment hire, travel, accommodation, or other expenses must be agreed in writing or in the Booking Confirmation before they are incurred, except where the parties agree otherwise during the Event.
Electronic Payments, Traceability, and Documentation
- All payments relating to bookings arranged through Hadi Entertainment must be made electronically through authorized payment channels. Cash payments are strictly prohibited.
- Payments payable to Hadi Entertainment Ltd must be made exclusively to its officially designated bank account.
- Payments payable directly to an Artist must be made electronically to the Artist’s designated M-Pesa or bank account.
- Where Hadi Entertainment collects payment on behalf of an Artist, the Client shall pay Hadi Entertainment’s officially designated bank account, and Hadi Entertainment shall remit the Artist’s agreed share electronically to the Artist’s designated M-Pesa or bank account.
- All payments must be traceable through an official bank transaction record, M-Pesa transaction record, or other verifiable electronic payment record.
- An official receipt or invoice shall be issued for every payment received, as applicable, by Hadi Entertainment or the Artist receiving the payment. The document shall identify the payment amount, date, purpose, and relevant booking reference, where applicable.
- Where a payment is received in instalments, a receipt shall be issued for each payment received, and an invoice or payment statement may be issued to reflect the outstanding balance.
- Clients must retain proof of payment and provide it upon reasonable request to verify that the applicable payment obligation has been fulfilled.
- A payment shall only be considered received when it has been successfully credited to the designated recipient’s bank account or M-Pesa account, as applicable.
- Neither Hadi Entertainment nor an Artist is authorized to request or accept cash payments for a booking arranged through Hadi Entertainment.
B4. Hadi Entertainment’s Role and Responsibility
This is the section that most affects how disputes are handled, so please read it carefully.
- Hadi Entertainment shall use reasonable care in facilitating bookings and communicating relevant information between Clients and Artists.
- Hadi Entertainment does not control an Artist’s independent performance, artistic decisions, personal conduct, punctuality, or professional methods.
- The Artist remains responsible for delivering the performance or services agreed in the Booking Confirmation.
- If an Artist fails to attend, cancels, arrives late, or materially fails to provide the agreed services, the Client should notify Hadi Entertainment promptly so that reasonable steps may be taken to assist in resolving the matter.
- Where reasonably practicable, Hadi Entertainment may assist in arranging a replacement Artist, rescheduling the engagement, or facilitating discussions concerning a refund or other resolution.
- Hadi Entertainment does not guarantee that a replacement Artist will be available or that a particular resolution will be achieved.
- Nothing in these Terms excludes Hadi Entertainment’s responsibility for its own breach of contract, negligence, fraud, or other liability that cannot lawfully be excluded or limited under Kenyan law.
B5. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information concerning the Event and promptly notify Hadi Entertainment of any material changes.
- Provide a safe, lawful, and suitable venue, including reasonable access, staging, power, security, and facilities appropriate to the engagement.
- Obtain all permits, licenses, approvals, and permissions required for the Event, including venue, entertainment, noise, public assembly, and other applicable authorizations.
- Ensure that the Event complies with applicable Kenyan laws, regulations, and venue requirements.
- Make payments in accordance with the Booking Confirmation.
- Ensure that the Artist is provided with the agreed performance conditions, equipment, facilities, and schedule.
- Treat the Artist, Hadi Entertainment’s representatives, and other Event personnel respectfully and ensure a safe working environment.
- Notify Hadi Entertainment as early as possible of any changes to the Event date, location, schedule, audience, or performance requirements.
- Pay any agreed travel, accommodation, equipment, or other additional expenses specified in the Booking Confirmation.
Hadi Entertainment may suspend or withdraw its assistance with an engagement where the Client’s conduct, venue, or proposed Event presents a material safety risk or involves unlawful activity.
B6. Cancellations and Rescheduling by the Client
- All cancellation, rescheduling, deposit, and refund terms shall be specified in the Booking Confirmation.
- A Client wishing to cancel or reschedule a Confirmed Booking must notify Hadi Entertainment in writing as soon as reasonably possible.
- Where a cancellation fee or deposit forfeiture applies, it must be clearly stated in the Booking Confirmation and must comply with applicable law.
- Any cancellation charges should reflect the agreed commercial terms and the reasonable costs or losses arising from the cancellation, subject to applicable law.
- Rescheduling is subject to the Artist’s availability and written agreement of the relevant parties. Additional fees may apply where agreed.
- Where no cancellation or rescheduling terms have been specified, the parties shall seek to agree on a reasonable resolution in writing, subject to applicable law.
B7. Artist Cancellation or Non-Performance
- If an Artist cancels or becomes unable to perform after a Confirmed Booking, Hadi Entertainment shall make reasonable efforts to notify the Client and facilitate a suitable resolution.
- Depending on the circumstances, a resolution may include a replacement Artist, rescheduling, or a refund of amounts payable for services not delivered, as provided in the Booking Confirmation and applicable law.
- Hadi Entertainment shall not be responsible for guaranteeing the availability of a replacement Artist.
- Any refund or compensation obligation shall be determined by the Booking Confirmation, the applicable contractual arrangements, and Kenyan law.
Part C
Terms for Artists
C1. Application and Acceptance onto the Roster
- Submitting an Artist application does not automatically entitle the applicant to join Hadi Entertainment’s roster.
- Hadi Entertainment may review applications, verify information, request additional documentation, and accept or decline applicants at its discretion, subject to applicable law.
- Hadi Entertainment may suspend or remove an Artist from its roster for material breach of these Terms, misconduct, repeated cancellations, misleading information, substantiated client complaints, or other legitimate business reasons.
- Where reasonably practicable, Hadi Entertainment will notify the Artist of the reasons for suspension or removal.
- Artists must ensure that their profile information, contact details, performance rates, availability, and promotional materials are accurate and up to date.
- Acceptance onto the roster does not guarantee bookings, income, minimum work, or any particular level of exposure.
C2. Independent Contractor Relationship
- Artists are independent professionals engaged on a booking-by-booking basis unless a separate written agreement expressly provides otherwise.
- Nothing in these Terms creates an employment relationship, partnership, joint venture, or general agency relationship between Hadi Entertainment and an Artist.
- Artists are responsible for their own taxes, statutory obligations, licenses, equipment, insurance, personnel, and other costs associated with their professional activities.
- Artists are responsible for ensuring that they have the legal right and authority to enter into and perform each engagement.
- Nothing in this section overrides any employment or other legal status that may arise under applicable law based on the actual circumstances of the relationship.
C3. Non-Exclusive Representation
- The relationship between Hadi Entertainment and an Artist is non-exclusive unless otherwise agreed in a separate written agreement.
- Artists may accept bookings from other agencies, clients, and sources, subject to the commission and non-circumvention provisions of these Terms.
- Hadi Entertainment may represent or recommend multiple Artists within the same category and is not obligated to provide any Artist with a minimum number of inquiries or bookings.
- Hadi Entertainment may decline to recommend an Artist for a particular engagement based on the Client’s requirements, availability, budget, or other relevant factors.
C4. Commission and Payment Obligations
Hadi Entertainment shall charge a Commission of 15% of the applicable Booking Fee for every Confirmed Booking arranged through Hadi Entertainment, unless a different rate is expressly agreed in writing. There is no application fee or roster membership fee unless separately agreed in writing.
- Where the Client pays the Artist directly, the Artist shall pay Hadi Entertainment’s Commission within seven (7) calendar days after receiving the relevant payment from the Client.
- Where the Client makes payment in instalments, the Commission shall be payable proportionately as the Artist receives each instalment, unless otherwise agreed in writing.
- Where Hadi Entertainment collects payment on behalf of the Artist, Hadi Entertainment may deduct the agreed Commission and remit the remaining amount to the Artist in accordance with the Booking Confirmation.
- Unless otherwise agreed, the Commission shall be calculated on the agreed Booking Fee, excluding separately itemized travel reimbursements and other expenses that are not part of the Artist’s performance fee.
- Artists shall provide accurate payment information and promptly notify Hadi Entertainment of any payment received directly from a Client in connection with a booking arranged through Hadi Entertainment.
- Failure to pay Commission when due may result in suspension from the roster, termination of representation services, recovery of outstanding amounts, and any other lawful remedies available to Hadi Entertainment.
Payment Records and Receipts
- All Commission payments payable to Hadi Entertainment must be made electronically to its officially designated bank account and must be traceable through an official transaction record.
- Artists shall retain verifiable records of payments received directly from Clients for bookings arranged through Hadi Entertainment and provide such records upon reasonable request.
- Where Hadi Entertainment collects payment on behalf of an Artist, it shall maintain appropriate records of amounts received, Commission deducted, and amounts remitted to the Artist.
- Hadi Entertainment or the Artist receiving payment shall issue an appropriate receipt or invoice for each payment received, in accordance with applicable Kenyan tax and invoicing requirements.
- Where Hadi Entertainment remits an Artist’s share, the payment shall be made electronically to the Artist’s designated M-Pesa or bank account, with a transaction record retained as evidence of payment.
- Artists shall not accept cash payments or make cash payments of Commission in connection with bookings arranged through Hadi Entertainment.
C5. Non-Circumvention and Protection of Introductions
- Where Hadi Entertainment introduces an Artist to a Client in connection with a potential booking, the Artist shall not knowingly bypass Hadi Entertainment to avoid the applicable Commission on a booking arising directly from that introduction.
- This obligation applies for twelve (12) months from the date of the relevant introduction and is limited to bookings reasonably connected to that introduction.
- The restriction does not apply to a demonstrable pre-existing business relationship between the Artist and the Client that existed before the introduction by Hadi Entertainment.
- Artists shall promptly disclose any direct booking inquiry received from a Client introduced by Hadi Entertainment where the inquiry relates to the original introduction or engagement.
- Nothing in this section prevents an Artist from conducting lawful business independently where no Commission is contractually due.
C6. Artist Responsibilities
Artists agree to:
- Attend Confirmed Bookings on time and deliver the agreed performance or services professionally.
- Ensure that their performance, equipment, personnel, and conduct meet the requirements agreed in the Booking Confirmation.
- Provide accurate information about their experience, repertoire, performance capabilities, rates, and availability.
- Notify Hadi Entertainment promptly of any circumstance that may affect their ability to fulfill a Confirmed Booking.
- Comply with applicable laws, lawful venue rules, and reasonable safety requirements.
- Respect Clients, audiences, venue personnel, and Hadi Entertainment representatives.
- Obtain all permissions, licenses, and rights necessary for materials, recordings, or performances they supply, except where responsibility is expressly allocated otherwise in writing.
- Ensure that any promotional materials submitted to Hadi Entertainment are owned by them or used with appropriate authorization.
- Refrain from making false or misleading statements about Hadi Entertainment, a Client, or another Artist in connection with a booking.
C7. Artist Cancellations and Failure to Perform
- An Artist who becomes unable to fulfill a Confirmed Booking must notify Hadi Entertainment immediately and provide relevant information concerning the cancellation.
- Artists shall cooperate reasonably in finding a replacement or alternative arrangement where appropriate.
- Artists shall promptly return any advance payment received for services that will not be delivered, subject to the Booking Confirmation and applicable law.
- Repeated cancellations, failure to attend, or material breaches of booking obligations may result in suspension or removal from the roster.
- Any additional liability arising from a cancellation shall be determined by the Booking Confirmation and applicable law.
C8. Use of Artist Materials and Promotional Content
- By joining the roster, an Artist grants Hadi Entertainment a non-exclusive, royalty-free license to use the Artist’s approved name, stage name, biography, photographs, videos, recordings, logos, and promotional materials for the purposes of presenting, promoting, and marketing the Artist’s booking and representation services.
- This license includes use on Hadi Entertainment’s website, social media accounts, marketing materials, and communications with prospective Clients.
- The Artist confirms that they own or have the necessary rights and permissions to grant this license.
- The Artist retains ownership of their original intellectual property, subject to the license granted under this section.
- Hadi Entertainment shall not knowingly use Artist materials in a misleading or materially altered manner.
- An Artist may request that Hadi Entertainment discontinue future promotional use of specific materials by giving written notice. Hadi Entertainment shall take reasonable steps to comply, subject to existing bookings, legal obligations, and the practical removal of materials already distributed.
Part D
General Terms
These terms apply to Clients, Artists, and Ticket Purchasers.
D1. Photography, Recording, and Publicity

- Nothing in this section grants Hadi Entertainment ownership of an Artist’s performance, recording, or other intellectual property unless expressly agreed in writing.
D2. Limitation of Liability
- To the maximum extent permitted by Kenyan law, Hadi Entertainment shall not be liable for indirect or consequential losses arising from a booking or use of its website, including loss of profits, anticipated revenue, or business opportunities.
- Hadi Entertainment shall not be responsible for the independent acts, omissions, negligence, or misconduct of an Artist or Client, except to the extent liability arises from Hadi Entertainment’s own acts or omissions or is otherwise imposed by law.
- To the extent permitted by law, Hadi Entertainment’s aggregate liability arising directly from its booking facilitation services for a particular Confirmed Booking shall not exceed the Commission actually retained by Hadi Entertainment for that booking.
- The limitation in the preceding subsection does not apply to liability that cannot lawfully be excluded or limited, including liability for fraud or other liability that Kenyan law requires to remain enforceable.
- Nothing in these Terms limits any rights or remedies available to a Client or Artist under mandatory consumer protection or other applicable legislation.
D3. Indemnity
- Each party shall be responsible for its own acts, omissions, and breaches of these Terms.
- To the extent permitted by law, a party shall be responsible for direct losses, liabilities, and reasonable costs suffered by Hadi Entertainment arising from that party’s material breach of these Terms, unlawful conduct, or infringement of third-party rights.
- No party shall be required to indemnify another for losses caused by the other party’s own negligence, misconduct, or breach of contract, except as permitted by applicable law.
D4. Force Majeure
- A party shall not be treated as being in breach of these Terms to the extent that its performance is prevented or materially delayed by an event beyond its reasonable control.
- Such events may include extreme weather, natural disasters, government restrictions, public emergencies, civil disturbances, significant transport disruptions, widespread power or telecommunications failures, an Artist’s sudden illness or injury, and other comparable events.
- The affected party shall notify the other parties as soon as reasonably practicable and take reasonable steps to reduce the effects of the disruption.
- The parties shall attempt to agree on a reasonable alternative arrangement, including rescheduling or cancellation where necessary.
- Any payment, refund, or cancellation consequences shall be determined by the Booking Confirmation and applicable law.
D5. Intellectual Property
- All intellectual property rights in Hadi Entertainment’s website, branding, logos, graphics, original text, and other materials created by or for Hadi Entertainment remain the property of Hadi Entertainment or its licensors.
- Users may access and use website content for personal or legitimate business purposes connected with the Services.
- No person may copy, reproduce, distribute, modify, scrape, commercially exploit, or otherwise use Hadi Entertainment’s intellectual property without prior written authorization, except where permitted by law.
- Nothing in this section transfers ownership of an Artist’s intellectual property to Hadi Entertainment.
D6. Privacy and Data Protection
- Hadi Entertainment collects and processes personal data for purposes including responding to booking inquiries, reviewing Artist applications, facilitating bookings, managing business relationships, processing payments where applicable, and complying with legal obligations.
- Personal data may include names, contact details, business information, event details, Artist profiles, payment-related information, and other information reasonably necessary for the Services.

D8. Amendments and Termination
- Hadi Entertainment may amend these Terms from time to time.
- Updated Terms shall be published on the website with a revised effective or update date.
- Changes shall apply prospectively and shall not automatically alter the agreed commercial terms of an existing Confirmed Booking unless the parties agree otherwise or applicable law requires otherwise.
- Hadi Entertainment may suspend or terminate an Artist’s roster membership or access to its Services for material breach, unlawful conduct, or other legitimate business reasons, subject to applicable law and existing contractual obligations.
- Clients and Artists may discontinue use of the website or request termination of their relationship with Hadi Entertainment, subject to outstanding obligations and any existing Confirmed Bookings.
D9. Dispute Resolution
- The parties shall first attempt to resolve any dispute arising from these Terms or a booking through good-faith discussions.
- A party raising a dispute should provide written notice describing the issue and the resolution sought.
- Where the dispute cannot be resolved through direct discussions, the parties may consider mediation or another mutually agreed dispute resolution process.
- Nothing in this section prevents a party from seeking urgent relief from a court of competent jurisdiction or exercising a statutory right.
- Any arbitration shall be conducted only where the parties have entered into a valid written arbitration agreement specifying the applicable procedure and venue, in accordance with the Arbitration Act, 1995, as amended.
- Subject to applicable law, disputes shall be subject to the jurisdiction of the competent courts of Kenya.

Part E
Terms for Ticket Purchasers
These terms apply when you buy a Ticket to a Hadi Entertainment event. The General Terms in Part D also apply.
E1. Buying a Ticket
- Each Ticket admits the number of people stated for that ticket type to the event, date, and venue shown when you buy it. Please check these details before you pay.
- Your purchase is complete only when your payment is confirmed. Payment confirmation does not guarantee entry if the Ticket is invalid, duplicated, or obtained in breach of these Terms.
- Hadi Entertainment may limit the number of Tickets that can be bought per order or per person.
- Hadi Entertainment may refuse or cancel an order where it reasonably believes there has been an error, fraud, or a breach of these Terms, and will refund any amount paid for a cancelled order.
E2. Prices and Payment
- Ticket prices are shown in the currency displayed at checkout and include the amounts shown in your order summary before you pay.
- Payments are processed by Paystack, a third-party payment provider. Hadi Entertainment does not store your card or payment details. Paystack’s own terms and privacy policy apply to the payment.
- If your payment is not completed, your Ticket will not be issued.
- If you were charged but did not receive an order confirmation or Ticket, contact us with your payment reference and the email you used, and we will investigate.
E3. Your Ticket and Entry
- Your order confirmation and Ticket are sent to the email address you enter at checkout. Please make sure it is correct. Hadi Entertainment is not responsible for Tickets that do not reach you because of an incorrect email address, but will help where reasonably possible.
- You may be asked to show a valid Ticket, in digital or printed form, and identification at entry. A Ticket (including any barcode or QR code) can be used once only. If a copy has already been used, entry may be refused.
- Where an event has an age restriction, it will be stated on the event page. Entry may be refused where age cannot be shown.
- Hadi Entertainment, the venue, and security staff may refuse or end entry, without refund, for anyone who behaves in an unsafe or abusive way, is unable to follow venue rules, or breaches these Terms.
- You must follow venue rules and reasonable security checks at all times.
E4. Resale and Misuse
- Tickets are for personal use. You may not resell Tickets for more than their original price, or use them for advertising, promotions, or competitions, without our written permission.
- Hadi Entertainment may cancel Tickets that have been sold or used in breach of this section, without refund.
E5. Refunds, Cancellations, and Changes
- Unless this section, the event page, or applicable law provides otherwise, Tickets are non-refundable and cannot be exchanged.
- If Hadi Entertainment cancels an event, you will be offered a refund of the Ticket price you paid, or another option that we will explain in our communication to Ticket Purchasers. Refunds are made to the original payment method wherever possible.
- If an event is postponed or rescheduled, your Ticket remains valid for the new date. We will explain your options if you cannot attend the new date when it is announced.
- Changes to performers, running order, or timings do not entitle you to a refund unless the event page says so, the change is material, or applicable law requires it.
- If a particular event has its own refund terms on its event page, those terms apply to that event.
- Nothing in this section limits your rights under Kenyan consumer protection law.
E6. Attending the Event
- By attending, you accept that events may be photographed or recorded as described in D1, and you attend in line with D2 (Limitation of Liability), subject to applicable law.
- You are responsible for your own belongings and for the conduct of the guests you attend with.
- Hadi Entertainment may publish additional event-specific terms (for example, about age, dress, or items that may be brought in). Those terms apply to that event.
E7. Questions About Your Ticket
For questions about an order or Ticket, contact us at info@hadientertainment.com or +254 114 729891, and include your order number and the email you used to buy.
